HARALD R. HANSEN

Harald Hansen currently serves as a Director of Georgia Commerce Bank as well as Georgia Commerce Bancshares, Inc.

Mr. Hansen served as Chairman of First Union National Bank of Georgia from 1989 until his retirement on September 1, 1996; from 1987 to 1995, he served as Chief Executive Officer of First Union National Bank of Georgia. Prior to assuming his Chief Executive duties, Hansen was Executive Vice President of the General Banking Group of First Union National Bank.

Hansen joined First Union National Bank of North Carolina in 1969 as Assistant Vice President. In 1970 he was named Vice President and division head of First Bank/Master Charge Division. He was named Senior Vice President in 1971 and became division head of the Trust Division and General Trust Officer. He was named city executive of the Charlotte office in1976 and served as regional executive for the Charlotte region from 1977 to 1979. In 1979 he became Regional Executive Vice President for the Charlotte region. He served from 1982 to 1986 as Executive Vice President of the World Banking Group.

Hansen earned a bachelor's degree in Political Science from Duke University. He served in the U.S. Naval Reserve from 1950 to 1954 and in the Marine Corps from 1956 to 1959. He is a retired Colonel in the U.S. Marine Corps Reserve.

Hansen serves on the board of directors of a number of public and private companies and funds. He serves on the board of Trustees of the Asheville School, and Oglethorpe University. He currently serves on the community board of Midtown Alliance, and the Midtown Improvement District. Mr. Hansen also serves on the board of Hyperion Strategic Bond Fund, Inc., Hyperion Collateralized Securities Fund, Inc., and Crystal River Capital, Inc.

In 1990, Hansen was named Minority Business Advocate of the Year by the Minority Business Development Agency in Atlanta. In 1994, the Atlanta Chapter of the American Jewish Committee honored him with its Institute of Human Relations Award in recognition of his service to the community and the Empire Real Estate Board honored him with the Distinguished Service Award. In 1995, the Atlanta Business League honored Mr. Hansen with the Distinguished Service Award.
